Terms of Use and Sale

These Terms govern access to VINZA.AI, its automated reports, PromptCheck, Clarity and related services. They explain the relationship between Vinza Ltd, customers and Paddle, together with the limits that apply to AI-generated information and third-party tool suggestions.
1 About VINZA.AI and these Terms
1.1 VINZA.AI is operated by Vinza Ltd, a company registered in England and Wales under company number 17366609. Our registered office is 2nd Floor College House, 17 King Edwards Road, Ruislip, London, HA4 7AE, United Kingdom. In these Terms, VINZA.AI, Vinza, we, us and our mean Vinza Ltd.
1.2 Contact us at contact@vinza.ai for product support, complaints, cancellation assistance, privacy queries and refund requests. Transaction support is also available through the support link in a Paddle receipt or at paddle.net.
1.3 These Terms apply to vinza.ai, accounts, questionnaires, Snapshot, Momentum, Advisory, PromptCheck, Clarity, reports, downloads, emails and related features that we provide, together called the Services.
1.4 A consumer is an individual acting wholly or mainly outside a trade, business, craft or profession. A business user uses the Services wholly or mainly for business or professional purposes, including on behalf of an organisation. Clauses may apply differently to those groups.
1.5 You accept these Terms when you create an account, submit information for processing, use a Service or expressly accept them when placing a paid order. At checkout, paid users must be able to review and accept these Terms and the Refund Policy before payment.
2 Eligibility and geographic availability
2.1 You must be at least 18 years old and legally capable of entering a contract. VINZA.AI is not directed to children.
2.2 If you use or purchase the Services for an organisation, you confirm that you have authority to act for it. References to you then include that organisation where appropriate.
2.3 The Services are available internationally where lawful and technically supported. Our initial marketing is focused on the United Kingdom, United States and English-speaking markets. We may restrict access in a territory where required by law, sanctions, export controls, provider restrictions or risk controls.
3 What VINZA.AI provides
3.1 VINZA.AI is an independent digital platform designed to help users understand where artificial intelligence may be useful, improve requests made to AI systems and identify tools or capabilities they may wish to consider.
3.2 Snapshot is a free first-look output based on a short set of answers. Free features may be changed, limited or withdrawn at any time.
3.3 Momentum is a one-off personalised automated report. Its launch price is US $79 before any taxes displayed at checkout. Payment unlocks six short, straightforward multiple-choice questions. Once the required answers are submitted, VINZA.AI automatically generates the report and makes it available in the user account.
3.4 Advisory is a one-off personalised automated report. Its launch price is US $299 before any taxes displayed at checkout. A Momentum holder may be offered an upgrade for US $220 for the same report journey. Payment unlocks the remaining short questions. Once the required answers are submitted, VINZA.AI automatically generates the Advisory report and makes it available in the user account.
3.5 Momentum and Advisory are automated digital products. They do not include human consultancy, individual human review, professional advice or direct access to an adviser.
3.6 PromptCheck analyses a prompt and suggests ways to improve it. The applicable product page or account identifies the number and duration of PromptCheck passes. Passes have no cash value, may not be sold or transferred and may expire at the end of the stated access period.
3.7 Clarity is available to eligible Momentum or Advisory report holders. It periodically reassesses the tools and capabilities within its monitoring scope against the priorities reflected in the relevant report. Clarity is not continuous or real-time and does not promise to identify every development.
3.8 We aim to keep purchased reports available for ongoing account access while the relevant account and Service remain operational. You should download and retain your own copy. VINZA.AI is not a permanent archival service and does not promise indefinite hosting.
4 Automated generation and responsibility for decisions
4.1 VINZA.AI uses automated systems, including artificial intelligence, to analyse information and generate reports, classifications, suggestions, prompts and other outputs. These systems are probabilistic. An output may be inaccurate, incomplete, outdated, inconsistent, misleading or unsuitable for a particular situation.
4.2 VINZA.AI does not independently verify every fact, assumption, third-party statement, price, feature or capability appearing in an output. You must review outputs critically and assess their accuracy, suitability and consequences before relying on, implementing or sharing them.
4.3 Where a decision may have material financial, legal, commercial, operational, reputational, safety or personal consequences, you must obtain appropriate human review and, where necessary, advice from a suitably qualified professional.
4.4 VINZA.AI is not a law firm, financial adviser, accountant, tax adviser, medical or mental-health provider, employment adviser, insurance adviser, investment manager, cybersecurity consultant or other regulated professional service. Outputs are general informational, educational and decision-support material, not a substitute for professional advice, independent investigation or your own judgment.
4.5 You must not use an output as the sole or determinative basis for a decision having a legal or similarly significant effect on another person, including decisions concerning employment, recruitment, credit, lending, insurance, housing, education, healthcare, legal rights, immigration, eligibility for essential services or access to opportunities.
4.6 You must not use VINZA.AI in an emergency, as part of a safety-critical system, or where an error or delay could reasonably be expected to cause death, personal injury, serious financial loss, significant property damage or infringement of another person's rights.
4.7 You remain responsible for the decisions you make, the actions you take and how you use or share an output. Nothing in these Terms excludes responsibility that cannot lawfully be excluded or reduces mandatory consumer rights.
5 Your account and information
5.1 Personalisation depends on the information you provide. You are responsible for supplying information that is sufficiently accurate and complete for your intended use and for reassessing an output when circumstances change.
5.2 Do not submit passwords, payment-card details, government identification numbers, private keys, credentials, medical records, biometric or genetic information, detailed financial-account information, criminal-offence information, legally privileged material, classified or export-controlled information, or personal information about another person unless you are lawfully authorised and it is genuinely necessary.
5.3 You may submit ordinary confidential business context that you are authorised to disclose, but you should not submit unnecessary trade secrets or other highly sensitive information. No general confidentiality undertaking replaces a separately signed agreement.
5.4 Keep sign-in credentials confidential and tell us promptly if you believe an account has been compromised. Individual account credentials may not be shared. A business purchaser may share a report internally as permitted by section 11.
6 Orders payments and Paddle
6.1 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle acts as authorised reseller and Merchant of Record for paid VINZA.AI transactions. The applicable Paddle entity identified at checkout sells the paid product, processes payment and relevant taxes, issues receipts, manages subscription billing and supports refunds and chargebacks. Vinza supplies access to the VINZA.AI product and governs its use under these Terms.
6.2 Paddle's Buyer Terms at https://www.paddle.com/legal/buyer-terms and Refund Policy at https://www.paddle.com/legal/refund-policy also apply to the transaction. Mandatory law and any more favourable valid consumer or refund right continue to apply.
6.3 Prices are displayed in US dollars unless checkout shows an authorised local-currency amount. Paddle may add, collect or account for VAT, sales tax, GST or similar taxes. The product, total price, currency, tax treatment and billing cadence displayed immediately before payment form part of the order.
6.4 A paid order is complete when payment is accepted and Paddle issues confirmation. We may withhold or suspend paid access where a payment is declined, reversed, charged back or reasonably suspected to be fraudulent, subject to mandatory rights.
7 Paid questionnaires report generation and delivery
7.1 Payment for Momentum or Advisory gives access to the relevant paid assessment. A completed report cannot be generated until all required questions have been answered and submitted.
7.2 Report generation begins after submission of the required answers, not merely when payment is made. Any estimate begins at submission. We are not responsible for delay caused by incomplete or unsubmitted answers.
7.3 A report is made available when generation has completed successfully, the complete report has been saved and it is accessible through the customer account. We record that date and time and send a notification to the registered email address. Opening the email or report is not required for availability.
7.4 If generation fails because of our systems, we will use reasonable efforts to regenerate the report, restore access or provide an appropriate refund or other remedy. A technical failure attributable to us should not consume a PromptCheck pass without a usable output.
8 Immediate performance and cancellation rights
8.1 Where required, checkout will ask separately for express consent or a request to begin digital performance during a statutory cancellation period and for acknowledgement of the possible effect on the statutory right to cancel. That control must not be pre-ticked or bundled with marketing consent.
8.2 The paid assessment begins when we provide access to the paid questions. The completed report is supplied after the required answers are submitted. Clarity begins as a continuing digital service when activated.
8.3 Any immediate-performance acknowledgement does not remove VINZA.AI's separate voluntary Refund Policy and does not affect non-excludable rights where digital content or services are faulty, misdescribed or otherwise non-conforming.
9 Refund Policy
9.1 VINZA.AI offers the voluntary 14-day guarantee described in the Refund Policy at /refund-policy. The Refund Policy forms part of these Terms.
9.2 For Momentum, Advisory and an Advisory upgrade, the voluntary period begins when the completed report is first made available in the customer account. For the first Clarity payment, it begins on the payment date.
9.3 A customer may request a refund without providing a reason. We may invite optional feedback, but answers do not determine eligibility, timing or amount.
10 Clarity subscriptions
10.1 Clarity is offered at US $19 billed monthly or US $190 billed annually, before any taxes shown at checkout. By subscribing, you authorise Paddle to charge the amount and cadence shown at checkout until cancellation.
10.2 Clarity renews automatically at the stated interval unless cancelled before the next billing date. You may cancel at any time through the account billing link, the Paddle receipt or paddle.net. We will not require a telephone call or negotiation.
10.3 Cancellation ordinarily takes effect at the end of the current paid period, stops future renewal charges and allows access through that period. Except where the Refund Policy, Paddle policy or applicable law provides otherwise, cancellation does not retrospectively refund a period already paid.
10.4 We or Paddle will provide receipts and any renewal, cooling-off or other reminder required by law. Annual renewal reminders should be sent approximately 30 days and 7 days before renewal, subject to applicable requirements.
10.5 A price or material recurring-service change applies only to a future billing period after appropriate notice. The notice will identify the effective date and how to cancel before the affected renewal.
11 Permitted use and PromptCheck sharing
11.1 Subject to payment and these Terms, we grant a limited, non-exclusive, non-transferable licence to use reports and outputs for personal purposes or the internal purposes of your business. You may download and print a report and share it confidentially with employees, contractors and professional advisers who reasonably need it.
11.2 You must not resell, sublicense, white-label or commercially distribute a report; publish a complete paid report publicly; scrape or systematically extract content; bypass access controls or usage limits; reconstruct our prompts, scoring, selection logic or methodology; train or evaluate a competing model or service using VINZA content; or remove branding or rights notices.
11.3 PromptCheck is designed to be shared. You may use the designated VINZA.AI sharing feature to share a PromptCheck result with friends, colleagues, family, professional contacts or followers. This permission applies only to the content selected through that feature and does not permit resale, white-labelling, systematic reproduction, scraping, dataset creation or competing commercial exploitation.
11.4 Before sharing, you must review the share preview and remove personal, confidential or sensitive material that you are not authorised to disclose. Anyone with an active sharing link may be able to view it. Where the feature permits, you may disable the link.
11.5 Nothing prevents an honest review, lawful comparison or protected disclosure. That does not permit publication of a full paid report, infringement of intellectual property, disclosure of another person's information or a knowingly false or unlawful statement.
12 Intellectual property and user material
12.1 Vinza and its licensors retain all rights in the site, software, databases, taxonomy, report architecture, selection and arrangement, visual design, prompts, explanations, methodology, branding and trade marks, including VINZA.AI and PromptCheck. Purchasing a product does not transfer those rights.
12.2 You retain any rights you have in answers, prompts and other material you submit. You grant us a non-exclusive licence to host, copy, transmit, analyse and otherwise use it only as reasonably necessary to provide, secure, support and improve the Services, comply with law and enforce these Terms. This is subject to our Privacy Notice and the prohibition on using identifiable customer content to train general AI models.
12.3 To the extent a personalised output contains protectable VINZA material, you may use it under section 11. We do not claim ownership of your underlying information. Because AI may generate similar material for different users, exclusive intellectual-property rights may not arise in every output.
12.4 If you provide feedback, you allow us to use it to improve the Services without payment. We will not identify you publicly without permission.
13 Third-party tool suggestions and information
13.1 VINZA.AI may identify, compare or suggest software, AI models, platforms, applications, subscriptions, websites and other products or services supplied by third parties, called Third-Party Tools. A suggestion is an option for independent consideration, not an endorsement, certification, instruction to purchase or assurance of suitability.
13.2 Information reflects what was reasonably available when the research or output was prepared. Providers may change prices, free plans, trials, allowances, credits, features, models, integrations, service levels, eligibility, geographic availability, security, privacy practices and terms at any time without notice to us.
13.3 A statement that a Third-Party Tool is free, paid, freemium, available on a plan or in a country, or includes a feature is a point-in-time statement, not a guarantee of current or future status. A quoted price may exclude tax, currency conversion, add-ons, implementation costs, minimum commitments or later changes.
13.4 Before registering, purchasing, connecting, relying on, cancelling another service in favour of, or submitting information to a Third-Party Tool, verify the current price, billing, free-plan limits, features, usage allowances, renewal and cancellation terms, compatibility, regional availability, privacy, security, intellectual-property and acceptable-use position directly with its provider.
13.5 Third-Party Tools are independent. Your use creates a separate relationship with the provider under its terms. To the extent permitted by law, we are not responsible for a provider's change, withdrawal, outage, account action, data practice, security incident, charge, incompatibility or inaccurate statement, or for loss caused by adopting a tool without appropriate investigation, testing, backups, permissions and human oversight.
13.6 We do not accept affiliate fees, referral commissions, placement fees or sponsored payments for including or ranking a Third-Party Tool. This supports independence but is not a warranty concerning the tool or provider.
14 Clarity monitoring limitations
14.1 Clarity periodically reviews the platforms and capabilities within its stated scope. It is not a continuous monitoring service and cannot guarantee that every announcement, price adjustment, feature, withdrawal, policy revision or regional release will be identified or reported.
14.2 A provider may make a change between review cycles, release gradually, restrict access by account or territory, conduct an undisclosed test, or publish incomplete or inconsistent information. A delay may therefore occur between a third-party change and a Clarity briefing.
14.3 Clarity identifies developments we reasonably consider relevant to the priorities in the associated report. It does not reproduce every release note or minor change. Verify provider information before making purchasing, cancellation, security, data-processing or implementation decisions.
15 Availability changes suspension and termination
15.1 We use reasonable care to operate the Services but do not promise uninterrupted, error-free or universally compatible availability. Maintenance, provider outages, security events and events outside reasonable control may interrupt access.
15.2 We may improve, replace or discontinue features. During a paid period, we will not materially reduce the core purchased functionality without a reasonable substitute, appropriate notice or a remedy required by law. Free features may change or end without compensation.
15.3 We may restrict or suspend access where reasonably necessary to protect users or systems, investigate fraud or security risk, respond to non-payment, comply with law or address a material breach. Where appropriate, we will explain the reason and allow a reasonable opportunity to correct it.
15.4 You may stop using a free account and may request deletion subject to the Privacy Notice and lawful retention. We may close an account for material or repeated breach after reasonable notice unless immediate action is reasonably necessary for security, illegality, fraud or harm.
16 Privacy confidentiality and security
16.1 Our Privacy and Cookie Notice at /privacy explains how Vinza processes personal information, the role of Paddle and service providers, international transfers, retention, rights, security and cookies.
16.2 Paddle processes payment, tax, fraud and transaction information under its own privacy notice. Paddle and Vinza may exchange information reasonably needed to complete an order, provide access, manage a subscription, prevent fraud, support a customer and process a refund.
16.3 We use reasonable measures to protect information, but no online service is completely secure. Use appropriate judgement before submitting confidential information and retain a downloaded copy of any report that you need to keep.
17 Quality remedies disclaimers and liability
17.1 If you are a consumer, we will provide paid digital content and services with the quality, conformity, reasonable care and skill, and other standards required by applicable law. Nothing excludes a right to repair, repeat performance, price reduction, refund or compensation that cannot lawfully be excluded.
17.2 Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, breach of a non-excludable statutory duty, or liability that the law does not permit us to limit.
17.3 If we fail to comply with these Terms, we are responsible to a consumer for loss or damage that is a foreseeable result of our breach or failure to use reasonable care and skill. We are not responsible for unforeseeable loss, business loss incurred by a consumer, or loss caused by inaccurate or incomplete user information, a third-party product or use contrary to these Terms, except where law provides otherwise.
17.4 For a business user, to the fullest extent permitted by law, neither party is liable for indirect or consequential loss. Vinza is not liable for loss of profit, revenue, sales, anticipated savings, opportunity, goodwill, reputation, business interruption, contracts, or loss or corruption of data, whether direct or indirect, except where section 17.2 applies.
17.5 Subject to section 17.2, Vinza's total aggregate liability to a business user arising from the Services, these Terms and all orders in a rolling 12-month period will not exceed 100% of the fees paid or payable to Paddle for the affected VINZA.AI products during that period.
17.6 A business user is responsible for implementation decisions, human and professional review, backups, access controls and compliance in its operations. It will indemnify Vinza against third-party claims and reasonable costs arising from unlawful use, infringement of another person's rights, or data submitted without authority, except to the extent caused by Vinza's breach or negligence.
18 Complaints governing law and disputes
18.1 Contact contact@vinza.ai first with the account email, product and a concise explanation. We aim to acknowledge a formal complaint within five business days and provide a substantive response within 14 calendar days, although complex matters may take longer.
18.2 These Terms are governed by the law of England and Wales, but this does not deprive a consumer of mandatory protection under the law of the country where that consumer habitually resides. A consumer may use any court or remedy that applicable consumer law permits. We do not require consumers to arbitrate.
18.3 For business users, these Terms, each order and any non-contractual dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
18.4 For United States consumers, every disclaimer, liability limit and governing-law term applies only to the extent permitted by the mandatory law of the consumer's state. Nothing waives a right that cannot lawfully be waived, including the right to make an honest consumer review.
19 Changes and general terms
19.1 We may update these Terms for legal, security, product or operational reasons. The current version and update date will appear on the site. A change does not retrospectively alter a completed one-off purchase unless law requires or the customer expressly agrees.
19.2 If a change materially affects an active Clarity subscription, we will provide appropriate advance notice. It will apply no earlier than the identified future renewal, and the customer may cancel before it takes effect.
19.3 These Terms, the order summary, Refund Policy and policies expressly incorporated form the agreement about the Services. Paddle's Buyer Terms and Refund Policy separately govern the Paddle transaction. Mandatory law applies first; then the order summary for product, price and billing; then these Terms; then general website copy.
19.4 You may not transfer an account or these Terms without written consent. We may transfer our rights and obligations as part of a genuine reorganisation, financing or sale of the relevant business, provided this does not reduce a consumer's rights.
19.5 If a provision is unlawful or unenforceable, it will be applied to the maximum lawful extent or removed, and the remaining provisions continue. Delay in enforcement is not a waiver.
19.6 Except for an applicable Paddle entity where a transaction clause expressly benefits it, a person who is not a party has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
19.7 We may send account and legal notices to the registered email and may publish service-wide notices prominently on the site. Notices to Vinza may be sent to contact@vinza.ai or, where appropriate, to the registered office stated in section 1.
